Standard Rules for Savvi Credit Union Ltd

INTERPRETATION

“the Act” means the Credit Union Act 1997;
“the Acts” means the Credit Union Acts 1997 to 2012;
“the 2012 Act” means the Credit Union and Cooperation with Overseas Regulators Act 2012;

NAME AND OBJECTS

The name of the credit union shall be Savvi Credit Union Limited (hereinafter referred to as the ‘Credit Union’)

REGISTRATION

The registered office of the credit union shall be 56 Sir John Rogerson’s Quay, Dublin 2, D02 EK20 or such other place as may from time to time be determined by the board of directors.

RULES

The rules of the credit union may specify the form of any instrument necessary for carrying the purposes of the credit union into effect

MEMBERSHIP

The minimum number of members of the credit union at any time shall be fifteen.

OPERATION OF THE CREDIT UNION

All shares in the credit union shall be of €1 denomination and shall be subscribed for
in full.

BOARD OF DIRECTORS

All shares in the credit union shall be of €1 denomination and shall be subscribed for
in full.

BOARD OVERSIGHT COMMITTEE

The credit union shall have a board oversight committee which shall consist of 5 members. It shall consist of three or five members.

Subject to the requirements of the Act, these rules and any other applicable requirement of financial services legislation including the Fitness & Probity
Regulations for Credit Unions at a meeting of the board of directors of the credit union

CREDIT COMMITTEE

The board of directors shall appoint a credit committee of not less than three members which shall decide on applications for credit.

CREDIT CONTROL COMMITTEE

The board of directors shall appoint a credit control committee of not less than three members which shall seek to ensure the repayment of loans by members of the credit union in accordance with their loan agreements.

MEMBERSHIP COMMITTEE

The board of directors shall appoint a membership committee which shall consider and decide on applications for membership of the credit union.

SUSPENSION AND REMOVAL OF DIRECTORS BY THE BOARD OVERSIGHT COMMITTEE

If the board oversight committee of a credit union considers that a member of the board of directors

APPOINTED OFFICERS

The board of directors shall appoint an individual to the role of manager of the credit union.

MANAGEMENT - GENERAL PROVISIONS

The credit union shall not pay any remuneration, directly or indirectly, to:

MEETINGS, RESOLUTIONS ETC.

The organisation meeting

NOMINATIONS, ELECTIONS, ETC.

The board of directors shall establish a nomination committee

ACCOUNTS AND AUDIT

The credit union shall ensure that proper accounts of the credit union are kept and audited in accordance with the requirements of the Act and any other relevant legal requirements.

DISPUTES AND COMPLAINTS

Save as otherwise required by or under the Act, this rule applies to any dispute between the credit union
